I had the same problem and I fixed it. The combination was amd 64 processor and sp2. SPS activates this service called DEP with amd 64 only that if you turn off fixes the problem. I turned it off by editing the line in system properties, Advanced, startup and recovery that says multi(0)disk(0)rdisk(0)partition(1)\WINDOWS="Microsoft Windows XP Professional" /fastdetect /NoExecute=optin. Change optin to "alwaysoff" and restart
